1. Definitions¶

1.1 Licensor¶

"Licensor" means the copyright holder of the Software.

1.2 Software¶

"Software" means the source code, object code, documentation, examples, configuration files, and any accompanying materials distributed under this License.

1.3 Modification¶

"Modification" means any alteration, addition, deletion, translation, adaptation, extension, or derivative work based upon the Software.

1.4 Research Use¶

"Research Use" means use solely for:

academic research;
scientific research;
educational instruction;
personal learning;
experimentation;
benchmarking;
validation;
publication of scientific or technical results;
reproducibility of published research.

Research Use includes research performed by universities, public research institutions, nonprofit organizations, and government laboratories.

Research Use does not include any activity intended primarily to develop, support, market, or operate a commercial product or commercial service.

1.5 Commercial Use¶

"Commercial Use" means any use of the Software that is intended for, supports, or results in commercial advantage or monetary compensation, including but not limited to:

production deployment;
software-as-a-service (SaaS);
commercial cloud services;
consulting services;
contract research performed for commercial benefit;
development of commercial software;
integration into commercial products;
operation of internal business systems;
sale, licensing, or distribution as part of a commercial offering.

2. Grant of Rights¶

Subject to the terms of this License, the Licensor grants You a worldwide, non-exclusive, non-transferable, revocable, royalty-free copyright license to:

use the Software;
copy the Software;
compile the Software;
modify the Software;
create derivative works;
distribute the Software;
distribute Modifications;

provided that all such activities are solely for Research Use.

No rights are granted for Commercial Use.

3. Redistribution¶

You may redistribute the Software, whether modified or unmodified, provided that:

this License accompanies every copy;
all copyright notices are retained;
modified versions clearly indicate that they have been modified;
recipients receive the same rights granted under this License;
no additional restrictions are imposed upon recipients.

4. Larger Works¶

You may combine the Software with other software or materials.

The portions originating from the Software shall remain subject to this License.

Nothing in this License authorizes Commercial Use of any Larger Work containing the Software.

5. Commercial Licensing¶

Any Commercial Use requires a separate written commercial license from the Licensor.

Commercial licenses may provide additional rights, including production deployment and integration into commercial products.

6. Intellectual Property¶

This License grants only the copyright permissions expressly stated herein.

No patent license, whether express or implied, is granted.

7. Contributions¶

Unless otherwise agreed in writing, any Modification or contribution submitted to the Licensor for inclusion in the Software shall be deemed licensed to the Licensor under the terms of this License.

Contributors retain ownership of their own copyrights.

8. Termination¶

This License terminates automatically if You violate any of its terms.

Upon termination, You must immediately cease all use and distribution of the Software.

Termination shall not affect rights previously granted to third parties who received the Software in compliance with this License.

9. Disclaimer of Warranty¶

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10. Limitation of Liability¶

11. Governing Law¶

This License shall be governed by the laws of the Netherlands, excluding its conflict of law provisions.

Any dispute arising under this License shall be resolved exclusively in the courts of that jurisdiction.

12. Entire Agreement¶

This License constitutes the entire agreement between the Licensor and You concerning the Software and supersedes all prior agreements relating to its subject matter.

If any provision of this License is held unenforceable, the remaining provisions shall remain in full force and effect.
